All Content on the Website — including the ALPS MSI name, logo, brand marks, trademarks, service marks, case studies, technical articles, photographs, videos, and software — is the exclusive property of ALPS Maintaineering Services, Incorporated, its sister companies, or its licensors, and is protected by Philippine and international intellectual property laws, including Republic Act No. 8293 (the Intellectual Property Code of the Philippines).

The ALPS MSI logo and brand are registered marks used under license. Third-party marks displayed on the Website — including those of ABB, EASA, Mobius Institute, PECB, and our other certification partners — remain the property of their respective owners and are used only to indicate accreditation, partnership, or service capability.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the Website for personal, non-commercial, or legitimate business research purposes. You may NOT:

4. User-Submitted Content

When you submit information through our forms — including inquiry forms, demonstration requests, job applications, or newsletter signups — you represent and warrant that:

  • The information is accurate, complete, and current;
  • You have the right to submit the information and to grant ALPS MSI the rights described in these Terms;
  • The submission does not violate the rights of any third party, including intellectual property, privacy, or contractual rights;
  • The submission is not unlawful, defamatory, obscene, threatening, harassing, or otherwise objectionable.

By submitting information, you grant ALPS MSI a non-exclusive, royalty-free, worldwide license to use, store, and process the information for the purposes described in our Privacy Policy.

Personal data submitted through the Website is handled in accordance with our Privacy Policy and Republic Act No. 10173, the Data Privacy Act of 2012.

5. Services, Quotations, and Engagement

The Website provides general information about the Services offered by ALPS MSI and its sister brands. Service descriptions, technical specifications, and pricing references on the Website are for informational purposes only and do not constitute a binding offer.

Any engagement for Services — including reliability engineering, vibration analysis, motor and pump repair, energy audits, plant turn-around, or training programs — is governed by a separate written agreement, quotation, or purchase order signed by both parties. In the event of any conflict between these Terms and a signed service agreement, the signed agreement shall prevail with respect to that engagement.

Quotations issued by ALPS MSI are valid for the period stated on the quotation. Quoted prices are exclusive of value-added tax (VAT) and other applicable government charges unless otherwise stated, and are subject to change without prior notice.

6. Third-Party Links and Services

The Website contains links to third-party websites, social media platforms, and resources operated by our partners and affiliates, including:

  • ladtci.com — LAD Training & Certification, Inc.
  • Manufacturer and certification body sites — ABB, EASA, Mobius Institute, PECB, and others
  • Social media — Facebook, LinkedIn, YouTube, and Google Business

These links are provided for convenience only. ALPS MSI does not control these third-party websites and is not responsible for their content, privacy practices, or terms of use. Your access to and use of these third-party resources is at your own risk and subject to the terms of those parties.

7. Disclaimers and Warranties

The Website and all Content are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by Philippine law, ALPS MSI makes no representations or warranties of any kind, express or implied, regarding:

  • The accuracy, completeness, or reliability of any Content on the Website;
  • The availability or uninterrupted operation of the Website;
  • The Website being free from errors, viruses, or harmful components;
  • The results that may be obtained from using the Website.

Technical specifications, case study results, and outcome statements on the Website reflect specific past engagements and do not constitute a guarantee of future results. Engineering outcomes depend on site conditions, equipment history, operating environment, and other factors specific to each engagement.

Nothing on the Website constitutes professional engineering advice. Where engineering, reliability, or energy advice is required for your specific situation, you should engage ALPS MSI or another qualified professional under a signed service agreement.

8. Limitation of Liability

To the maximum extent permitted by Philippine law, ALPS MSI, its directors, officers, employees, agents, sister brands, and partners shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with:

  • Your use of, or inability to use, the Website;
  • Any reliance placed on Content available on the Website;
  • Any unauthorized access to or alteration of your transmissions or data;
  • Any other matter relating to the Website.

Where Philippine law does not permit the exclusion of certain warranties or limitation of liability, our total aggregate liability arising out of or related to these Terms or your use of the Website shall not exceed five thousand Philippine pesos (PHP 5,000.00).

Note: Liability arising under a signed service agreement, purchase order, or quotation is governed by the terms of that specific agreement, not these Website Terms.

9. Indemnification

You agree to indemnify, defend, and hold harmless ALPS MSI, its sister brands, directors, officers, employees, and agents from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorney's fees) arising out of or relating to:

  • Your breach of these Terms;
  • Your violation of any applicable law or third-party right;
  • Any User-Submitted Content you provide through the Website;
  • Your misuse of the Website or its Content.

10. Privacy

Your use of the Website is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how ALPS MSI collects, uses, shares, and protects your personal data in compliance with Republic Act No. 10173, the Data Privacy Act of 2012, and the rules of the National Privacy Commission.

11. Modifications to These Terms

ALPS MSI reserves the right to modify, update, or replace these Terms at any time at our sole discretion. The updated Terms will be posted on this page with a revised "Last updated" date. Where changes are material, we will provide a more prominent notice (for example, via a banner on the Website or by email to registered users).

Your continued use of the Website after any modification constitutes your acceptance of the revised Terms. If you do not agree with any modification, you must stop using the Website.

12. Suspension and Termination

We may, at our sole discretion and without prior notice, suspend, restrict, or terminate your access to the Website (in whole or in part) if we believe you have violated these Terms, applicable law, or for any other reason we deem necessary to protect the Website, ALPS MSI, or other users.

Sections that by their nature should survive termination — including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution — shall continue to apply after termination of your access.

13. Force Majeure

ALPS MSI shall not be liable for any failure or delay in performance under these Terms or any related agreement due to causes beyond our reasonable control, including but not limited to acts of God, typhoons, earthquakes, fire, flood, war, civil unrest, pandemic, government action, power outage, internet failure, telecommunications disruption, or labor disputes.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict-of-law principles.

15. Dispute Resolution and Venue

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be addressed through good-faith negotiation between the parties.

If the dispute cannot be resolved through negotiation within thirty (30) calendar days, either party may submit the matter to the appropriate courts of the Province of Laguna, Republic of the Philippines, which shall have exclusive jurisdiction, to the exclusion of any other venue.

16. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced by a valid provision that most closely approximates the original intent.

17. No Waiver

The failure of ALPS MSI to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of ALPS MSI.

18. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. ALPS MSI may assign or transfer these Terms, in whole or in part, without restriction, in connection with a merger, acquisition, reorganization, or sale of assets.

19. Entire Agreement

These Terms, together with the Privacy Policy and any signed service agreements between you and ALPS MSI, constitute the entire agreement between you and ALPS MSI with respect to your use of the Website, and supersede all prior or contemporaneous communications, proposals, or agreements, whether oral or written, on the same subject.
